Key Responsibilities:
  • Draft, negotiate, and manage a broad range of commercial agreements, including customer contracts, master services agreements, vendor and procurement agreements, non-disclosure agreements, and channel and partnership agreements.
  • Support major corporate development files, including project development, mergers & acquisitions, and financings.
  • Act as a hands-on legal partner to business units across the organization, delivering pragmatic, commercially grounded advice on live deals, bids, and operational issues.
  • Support Rodan's participation in wholesale and retail electricity markets, including the Independent Electricity System Operator (IESO) in Ontario, PJM Interconnection, the New York Independent System Operator (NYISO), the Midcontinent Independent System Operator (MISO), and the Alberta market - including market participant agreements, registration requirements, and tariff and compliance obligations.
  • Develop and execute plans to support new market entry, including contracting strategies, ensuring regulatory alignment, and adequate legal resourcing.
  • Engage in energy law and policy development on behalf of Rodan, including monitoring regulatory proceedings, preparing submissions and comments, and representing the company in stakeholder consultations with regulators, system operators, and industry associations.
  • Support corporate governance matters, including resolutions, minute books, subsidiary maintenance, and entity management across Rodan's Canadian and United States corporate group.
  • Own privacy, data protection, and intellectual property matters, including customer and metering data handling, compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable United States privacy law, software and licensing terms, and the trademark portfolio.
  • Identify, escalate, and help manage legal and commercial risk across the business, and support the continued build-out of legal templates, playbooks, and processes that scale.
  • Manage Rodan’s insurance portfolio.
Required Skills and Qualifications:
  • A Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) and membership in good standing with a Canadian provincial or territorial law society. Candidates admitted outside Ontario are welcome to apply, with the expectation of a call to the bar of Ontario through the Law Society of Ontario (LSO) within a reasonable period of joining.
  • Two to five years of post-call experience at a leading law firm and/or in an in-house legal department.
  • Top-notch contract drafting and negotiation skills, with the confidence to hold the pen across a wide range of commercial agreements and to run negotiations directly with counterparties.
  • A pragmatic approach to advising the business: clear, actionable advice framed around what the business is trying to achieve, with risk explained in terms decision-makers can act on.
  • Excellent business and legal judgment, including the ability to make calls with incomplete information and the instinct to know when a matter needs to be escalated.
  • A creative thinker and solution builder who looks for the path to yes rather than stopping at the obstacle.
  • Prior experience in the energy, power, utilities, or infrastructure sector - or a genuine, demonstrated commitment to making a hard pivot into it. This role requires a candidate whose interest extends beyond the traditional four corners of law practice and into the broader industry context in which Rodan operates.
  • A willingness to engage in energy law and policy development, and comfort representing Rodan in external stakeholder and regulatory settings.
  • A self-starter who thrives in a fast-moving, high-growth environment, is comfortable with ambiguity, and can manage competing priorities across many internal clients.
  • Exposure to United States or cross-border commercial and regulatory matters is an asset.
  • This is a hybrid role based out of Rodan's head office in Mississauga, Ontario.
Rodan Compensation & Benefits Include:
  • Base Salary - $135,000 - $190,000 Annually
